These Terms of Use are effective immediately for unregistered users and users registering accounts on www.tenbound.com or www.tenboundplus.com or otherwise acknowledging acceptance of these terms on or after the revision date. For other users who registered accounts before the revision date, it will become effective thirty (30) days after the revision date. All users are referred to, or referenced, throughout as “you” or “your,” and they include individual users as well as company users.
If you are also a member of Tenbound Plus, your membership is governed by these terms and by the Terms Applicable to Tenbound Plus Members.
Acceptance of the Terms of Use
These terms of use are entered into by and between You, on one hand, and Tenbound Inc. and its subsidiaries, affiliates, agents, employees, predecessors in interest, successors and assigns (“Tenbound,” “Company,” “our,” “we,” or “us”) on the other hand. The following terms and conditions (“Terms of Use” or “Terms”) govern your access to and use of our websites, Tenbound.com and Tenboundplus.com; registration pages or platforms for conferences, webinars, trainings or coaching programs, and/or other events or services; applications and/or platforms for conferences, webinars, and other events or services; post-event surveys; electronic communications; and newsletters; and any other content, functionality, and services offered through Tenbound, and related applications and services (the “Site”), whether as a guest or a registered user, and any other Company services (“Services”). Please read the Terms of Use carefully before you start to use the Site or utilize any other Services. By using the Site or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Site or utilize any other Services. Note that if you purchase a Tenbound Plus membership, you agree to the Terms Applicable to Tenbound Plus Members. By using the Site, you agree to comply with these Terms of Use and you represent and warrant that you are of legal age to form a binding contract with the Company and/or have authority to bind the company for whom you are acting on behalf. If you do not agree to these Terms of Use or make such representations and warranties, you must not access or use the Site or utilize any other Services.
Changes to the Terms of Use
We may change these Terms of Use at any time, and we’ll tell you when we do. Using the Site or other Services after the changes become effective means you agree to the new terms. If you don’t agree to the new terms, you must stop using the Site and other Services and close all accounts that you created on the Site. Sometimes you’ll need software updates to keep using the Site and other Services. We may automatically check your version of the software and download software updates or configuration changes. You may also be required to update the software to continue using the Site and other Services. Such updates are subject to these Terms unless other terms accompany the updates, in which case, those other terms apply. The Company isn’t obligated to make any updates available and we don’t guarantee that we will support the version of the system or device for which you purchased or licensed the software, apps, content or other products. Additionally, there may be times when we need to remove or change features or functionality of the Site or stop providing certain other Services or access altogether. Except to the extent required by applicable law, we have no obligation to provide a re-download or replacement of any material or applications previously accessed or purchased. We may release certain Site services or features in a preview or beta version, which may not work correctly or in the same way the final version may work.
Accessing the Site and Account Security
We reserve the right to withdraw or amend the Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to users, including registered users. You are responsible for both:
- Making all arrangements necessary for you to have access to the Site and other Services.
- Ensuring that all persons who access the Site and other Services through your internet connection are aware of these Terms of Use and comply with them.
To access the Site, Services, or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Site or other Services that all the information you provide on the Site or through other Company resources is correct, current, and complete. You agree that all information you provide to register with the Site or otherwise, including, but not limited to, through the use of any interactive features on the Site, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy. If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Site, or Services, or portions of them using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.
Intellectual Property Rights
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms of Use permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
- If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
You must not:
- Modify copies of any materials from this site.
- Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of the Terms of Use, your right to use the Site will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Site or any content on the Site is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Site not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.
Trademarks
The Company name, the terms “Tenbound Sales Development Conference,” “Tenbound Plus,” and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
Prohibited Uses
You may use the Site and other Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Site or other Services:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use.
- To transmit, or procure the sending of, any advertising or promotional material, without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site or other Services, or which, as determined by us, may harm the Company or users of the Site or other Services, or expose them to liability.
Additionally, you agree not to:
- Use the Site or other Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site or other Services, including their ability to engage in real time activities through the Site.
- Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
- Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
- Use any device, software, or routine that interferes with the proper working of the Site.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
- Attack the Site via a denial-of-service attack or a distributed denial-of-service attack. Otherwise attempt to interfere with the proper working of the Site.
User Contributions
The Site may contain user-generated content, company profiles, links to external websites, directories, forums, reviews and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Site. Tenbound Plus members should take note of the Terms Applicable to Tenbound Plus Members for more information on user contributions. All User Contributions must comply with the Content Standards set out in these Terms of Use. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Site, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. You represent and warrant that:
- You own or control all rights in and to the User Contributions that you submit and/or contribute to and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
- All of your User Contributions do and will comply with these Terms of Use.
You understand and acknowledge that you are responsible for any User Contributions you submit and/or contribute to, and that you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Site.
Monitoring and Enforcement; Termination
We have the right to:
- Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or other Service or the public, or could create liability for the Company.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site or other Services.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Site or other Services. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY/ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES. However, we cannot and do not undertake to review all material before it is posted on the Site or other Services, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
Content Standards
These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:
- Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
- Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy Privacy Policy.
- Be likely to deceive any person.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act.
- Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
- Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
- Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
- Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
Intellectual Property Infringement
If you believe that any User Contributions infringe your intellectual property (including copyright or trademark rights), please send a written notice of claimed infringement to our Designated Agent. Your notice must include:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work and/or trademark claimed to have been infringed, or, if multiple works at a single site are covered by a single notification, a representative list of such works.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.
- Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted.
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in your notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

The information presented on or through the Site or other Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site, or by anyone who may be informed of any of its contents. This Site includes content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. Limitation on Liability

Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, shareholders, attorneys, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Site or other Services, including, but not limited to, your User Contributions, any use of the Site’s content, Services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Site or other Services
Communications Between Users
Tenbound may share the contact information (including name, email address, and other identifying information (“Personal Information”) of users who affirmatively request to be connected with users that have enhanced company profiles allowing for such communication (“Enhanced Profile User”); provided that Tenbound shall only provide the Personal Information of users who have given Tenbound consent to share this Personal Data and have not opted out of Tenbound’s policies regarding the sharing of their personal information, or as otherwise provided by applicable data protection law. With respect to any shared Personal Data provided toEnhanced Profile User by Tenbound, Enhanced Profile User agrees to comply with the requirements of applicable data protection laws. Further, Enhanced Profile User agrees to use the Personal Data to communicate with the participant only about Enhanced Profile User’s products or services. Before Enhanced Profile User uses the Personal Data for any other purposes, Enhanced Profile User shall notify the individuals and, if required, obtain consent to use the Personal Data for those other purposes.
Duration of Terms
These Terms remain in effect while you use Tenbound and, for registered users or for Tenbound Plus members, as long as your account remains open. You may delete any profile you create for your company at any time. We may suspend or terminate your account or your access to parts of Tenbound, for any or no reason, without notice to you. We will have no liability whatsoever to you for any termination of your account or related deletion of your information. All provisions of these Terms shall survive termination or expiration of these Terms except those provisions granting access to or use of Tenbound. For the avoidance of doubt, you agree that these Terms apply to your use of Tenbound and any User Contributions posted on Tenbound at any time prior to the termination or expiration of these Terms.
Governing Law and Jurisdiction
All matters relating to the Site, Services, and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction). Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Site or Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the County of San Mateo, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Binding Arbitration and Class Action Waiver
We hope we never have a dispute, but if we do, you and we agree to try for 60 days to resolve it informally. If we can’t, you and we agree to binding individual arbitration before the American Arbitration Association (“AAA”) under the Federal Arbitration Act (“FAA”), and not to sue in court in front of a judge or jury. Instead, a neutral arbitrator will decide and the arbitrator’s decision will be final except for a limited right of review under the FAA. Class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceeding where someone acts in a representative capacity are not allowed. Nor is combining individual proceedings without the consent of all parties.
- Disputes Covered—Everything Except IP. The term “dispute” is as broad as it can be. It includes any claim or controversy between you and us concerning or arising from the Site, the Site or Services, the accounts you register, or these Terms of Use, under any legal theory including contract, warranty, tort, statute, or regulation, except disputes relating to the enforcement or validity of your, your licensors’, our, or our licensors’ intellectual property rights.
- Mail a Notice of Dispute First. If you have a dispute and our Company representatives can’t resolve it, send a Notice of Dispute by U.S. Mail to Tenbound Inc, 152 Alexander Ave, Daly City, CA 94014. The Notice must: (a) include your name, address, how to contact you, (b) describe the nature and basis of the claim or dispute; and (c) set forth the specific relief sought. We’ll do the same if we have a dispute with you. After 60 days, you or we may start an arbitration if the dispute is unresolved.
- Waiver of Rights to Class Actions and Representative Actions. YOU AND TENBOUND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, INCLUDING WITHOUT LIMITATION FEDERAL OR STATE CLASS ACTIONS, OR CLASS ARBITRATIONS. Further, unless both you and Tenbound agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific proviso is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
- Arbitration Procedure. The AAA will conduct any arbitration under its Commercial Arbitration Rules (or if you are an individual and use the Site or Services for personal or household use, or if the value of the dispute is $75,000 or less whether or not you are an individual or how you use the Services, its Consumer Arbitration Rules). For more information, see www.adr.org or call 1-800-778-7879. To start an arbitration, submit a Notice of Dispute to the AAA and mail a copy to us. In a dispute involving $25,000 or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. Unless Tenbound and you agree otherwise, any arbitration hearings will take place in San Mateo County, California. The arbitrator may award the same damages to you individually as a court could. The arbitrator may award declaratory or injunctive relief only to you individually to satisfy your individual claim. Under AAA Rules, the arbitrator rules on his or her own jurisdiction, including the arbitrability of any claim. The arbitrator is bound by the terms of this Agreement. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of the arbitration provision; but a court has exclusive authority to enforce the prohibition on arbitration on a class-wide basis or in a representative capacity. The arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
- Arbitration Fees and Payments.The AAA rules will govern payment of filing fees and the AAA’s and arbitrator’s fees and expenses, unless otherwise required by law.
- Conflict with AAA Rules. These Terms govern to the extent they conflict with the AAA’s Commercial Arbitration Rules or Consumer Arbitration Rules.
- Severability. If any part of this section regarding Binding Arbitration and Class Action Waiver is found to be illegal or unenforceable, the remainder will remain in effect (with an arbitration award issued before any court proceeding begins), except that if a finding of partial illegality or unenforceability would allow class-wide or representative arbitration, this section will be unenforceable in its entirety.
- Changes to Arbitration Provisions. Notwithstanding any provision in these Terms of Use to the contrary, we agree that if Tenbound makes any future change to this arbitration provision (other than a change to the Notice Address) during the term of these Terms of Use, you may reject any such change by sending us written notice within 30 days of change to the Notice Address provided above. By rejecting any future change, you’re agreeing that you’ll arbitrate any dispute between us in accordance with this provision.
- Opt-Out Procedures: You may opt out of this arbitration provision by sending a letter to a Notice of Opt-Out to the Address referenced above, and providing each of the following pieces of information: (a) your full name; (b) your address; (c) your phone number; (d) the URL where you found this agreement; and (e) a clear statement that you wish to opt out of this arbitration provision.This opt-out notice must be emailed no later than 30 days after the date you first accept these Terms of Use.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
The Terms of Use, Terms Applicable to Tenbound Plus Members, and our Privacy Policy constitute the sole and entire agreement between you and Tenbound regarding the Site and its Services, and they supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and/or Services.
